Effective Date: 15 July 2026 | Last Updated: 20 July 2026 | Version: 1.0 Issuer: LineUp, established in the Emirate of Dubai, United Arab Emirates Platform: https://lineup.trade/ | Contact: Support@Lineup.trade RISK WARNING. Trading Synthetic Player Assets on LineUp involves a high risk of loss and is not suitable for everyone. Prices can move rapidly and unpredictably, and you may lose the entire amount you commit. Where you use margin, leverage, or short positions, losses can occur very quickly, up to the full value of the collateral committed to a position. Only trade with money you can afford to lose. Do not trade with borrowed funds or with money you need for essentials. If you do not understand a product or a risk described in this Statement, do not trade until you do. 1. Purpose and Status of This Statement

1.1. This Risk Disclosure Statement (the "Statement") describes the principal risks of

accessing and using the LineUp platform (the "Platform") and of trading Synthetic Player Assets ("SPAs"). It forms part of, and must be read together with, the LineUp Terms & Conditions (https://lineup.trade/terms), the Responsible Trading Policy (https://lineup.trade/responsible-trading), and the other documents incorporated into the Terms & Conditions. Capitalised terms not defined here have the meanings given in the Terms & Conditions.

1.2. This Statement is not exhaustive. It cannot describe every risk that may arise, and the

risks described may combine and reinforce one another. The absence of a particular risk from this Statement does not mean that it does not exist.

1.3. This Statement is provided for information and risk-awareness purposes. It is not

financial, investment, legal, or tax advice, and it is not a recommendation to trade. You are solely responsible for your own trading decisions and their outcomes.

1.4. Where the Terms & Conditions and this Statement address the same subject, the Terms

& Conditions govern the parties' rights and obligations, while this Statement governs the description of risk. 2. Capital-at-Risk and No Guaranteed Returns

2.1. Trading SPAs is speculative and carries a high risk of financial loss. Prices can rise or

fall sharply, gap between levels, and behave unpredictably, particularly during live matches.

2.2. You may lose some or all of the amount you commit to a position. You should not

trade with funds you cannot afford to lose, with borrowed money, or with money required for living expenses or other obligations.

2.3. LineUp does not promise, guarantee, or predict any return, profit, or outcome. Past

performance of any SPA, Reference Player, strategy, or market is not a reliable indicator of future results.

2.4. Any illustration, example, chart, statistic, form indicator, or projection shown on the

Platform is for information only and does not guarantee any result. 3. Nature of Synthetic Player Assets

3.1. An SPA is a synthetic digital asset that exists only as a record within the Platform. It is

not a share, security, or financial instrument issued by any player or organisation, confers no ownership of or claim against any Reference Player, club, league, or governing body, and pays no dividend or income.

3.2. The value of an SPA is derived entirely from market activity on the Platform and from

the output of LineUp's automated Performance Engine, which references the performance of a Reference Player. That value exists only on the Platform, has no meaning off-Platform, and can fall rapidly to a nominal amount.

3.3. SPAs cannot be transferred off the Platform, transferred privately between Users, or

used as money. An SPA may be re-priced, halted, or delisted, and a Corporate Action affecting a Reference Player (such as retirement, suspension, or death) may leave an SPA with little or no continuing basis of value, in which case settlement at fair value is the full extent of any entitlement. 4. Leverage and Margin Risk

4.1. LineUp permits trading on margin, up to a maximum leverage of 2x (two times), which

corresponds to an initial margin requirement of 50% of position value. Leverage is available to all Users at the same cap, subject to any stricter limit required by applicable law.

4.2. Leverage magnifies both gains and losses. Using leverage means a relatively small

movement in the price of an SPA can produce a proportionately larger effect on the collateral supporting your position. At the maximum 2x leverage, a 50% adverse movement in an SPA can eliminate the entire collateral committed to that position.

4.3. Margin requirements are not fixed. LineUp may change initial and maintenance margin

requirements, and reduce available leverage, prospectively and, where risk conditions require, with immediate effect for new positions, as described in the Terms & Conditions.

4.4. If your account falls below the maintenance margin level, you may receive a margin

call. LineUp is not obliged to issue a margin call before liquidating your positions where market conditions move too quickly, and you should not rely on receiving one. 5. Short-Selling Risk

5.1. Where enabled, you may open a short position, which profits if the price of an SPA falls

and loses if the price rises. Short positions are subject to margin and to the limits and controls described in the Terms & Conditions.

5.2. Because the price of an SPA can rise, a short position can move against you quickly.

Your losses on a short position are limited by LineUp's liquidation process and negative- balance protection (Section 7), so that you will not lose more than the collateral committed to the position, but you can lose all of that collateral.

5.3. LineUp may apply additional controls to short positions, including higher margin

within the overall leverage cap, short-exposure caps, and restrictions on opening new short positions around certain events, which may prevent you from trading as you intend. 6. Liquidation Risk

6.1. If your account margin level falls to or below the published liquidation threshold,

LineUp may close some or all of your positions automatically and without further notice, in order to protect against further loss.

6.2. Liquidation is carried out on a largest-loss-first basis and may occur in one or more

steps. In fast-moving markets, liquidation may take place at prices materially worse than the level at which the liquidation was triggered, and your entire committed collateral may be lost.

6.3. A liquidation fee of 0.1% of the value of each liquidated position applies, as set out

in the Fee Schedule, and is deducted in addition to any trading losses.

6.4. LineUp is not liable for the occurrence, timing, sequence, or price of any liquidation

carried out in accordance with the market rules, including where prices recover after a liquidation or where a different outcome might have been achieved by different timing. 7. Negative-Balance Protection and Its Limits

7.1. LineUp operates negative-balance protection. This means that, in respect of market

losses on your positions, you cannot lose more than the collateral you have committed, and you will not be left owing LineUp a negative balance arising from those market losses. Where rapid price movement ("gapping") causes a position to close beyond its collateral, the relevant Liquidity Pool bears the shortfall.

7.2. Negative-balance protection applies only to market losses. It does not cover amounts

you may owe to LineUp through fraud, market abuse, chargeback reversals, taxes, or breach of the Terms & Conditions, which remain your responsibility.

7.3. Negative-balance protection limits your downside on a position but does not prevent

the loss of all committed collateral, and it does not guarantee any positive outcome. 8. Liquidity and Execution Risk

8.1. Liquidity on the Platform is provided through an automated Liquidity Engine and

Liquidity Pools. Liquidity is not guaranteed. LineUp does not act as counterparty to your trades and does not guarantee that any order will execute, that liquidity will be available at any time or price, or that you will be able to open or close a position when you wish.

8.2. In volatile or stressed conditions, liquidity may be reduced, spreads may widen,

execution may be delayed or throttled, and the effect of your order on the price ("price impact") may be significant. Large orders may execute at prices materially different from displayed indicative prices, may execute only in part, or may not execute at all.

8.3. Displayed prices are indicative until an order executes. The binding price of any trade

is the price recorded at execution, which may differ from the price you expected. 9. Volatility, Interruptions, and Circuit Breakers

9.1. SPA prices can be highly volatile, especially during live play, and can move by large

amounts in very short periods.

9.2. LineUp may pause, halt, or suspend trading in one or more SPAs, automatically or by

decision, including through circuit breakers triggered by extreme price movement, and may suspend or delist SPAs as described in the Terms & Conditions.

9.3. During an interruption or suspension you may be unable to close a position,

while the position continues to bear market risk. When trading resumes, the reopening price may differ materially from the price before the interruption, and losses may have increased in the meantime. 10. Technology, Latency, and Operational Risk

10.1. The Platform depends on software, systems, networks, the payment partner,

blockchain networks, and third-party data providers. Failures, outages, latency, congestion, maintenance, and errors in any of these can delay or prevent order submission, execution, price updates, settlement, deposits, and withdrawals, including at critical moments.

10.2. Your own device, connectivity, and configuration also affect your ability to trade.

LineUp is not responsible for losses arising from your equipment, network, or software.

10.3. LineUp does not warrant uninterrupted or error-free operation and may correct

manifest errors in pricing, execution, or settlement in accordance with the Terms & Conditions, which may reverse or adjust affected trades. 11. Cryptocurrency and Self-Custody Wallet Risk

11.1. Where you fund or withdraw using cryptocurrency, you do so through your own self-

custody wallet. You alone control your private keys, seed phrases, and recovery phrases. LineUp never holds them and cannot recover them. If you lose your keys or send assets to an incorrect address or network, those assets may be permanently and irretrievably lost, and LineUp cannot restore them.

11.2. Cryptocurrency is volatile. Where cryptocurrency is used as collateral or is converted

to or measured against the Base Currency (INR), its own price movement can independently trigger margin calls and liquidation, even without a change in the price of an SPA.

11.3. Blockchain networks are outside LineUp's control. Network congestion, delays, forks,

reorganisations, validator failures, and protocol or smart-contract exploits may delay, alter, or prevent transactions, including the release of collateral held in escrow. Where stablecoins are used, issuer risk, loss of the peg, and issuer-level freezes may occur, none of which are within LineUp's control. 12. Currency and Conversion Risk

12.1. The Base Currency of the Platform is the Indian Rupee (INR). Where you view

balances or prices in US Dollars or Euros, those are display conversions only, and your balances, margin, and settlement remain in INR.

12.2. Where an actual currency conversion occurs, exchange rates fluctuate and conversion

fees apply, so the value you receive or pay may differ from what you expected. Currency movements can affect the real value of your funds independently of your trading results. 13. Data Risk

13.1. SPA prices depend on data supplied by third-party data providers. That data may be

delayed, incomplete, inaccurate, or subsequently corrected, and coverage may lapse.

13.2. Data latency means price adjustments may lag real-world events, and official data

corrections may change the basis on which prices move. LineUp may freeze, suspend, or settle affected markets where data is unavailable or unreliable, and residual effects on prices, margin, and settlement may nonetheless occur. 14. Sports-Event Risk

14.1. SPA prices respond to inherently unpredictable real-world sporting events. Match

outcomes, abandonments, weather interruptions, tactical and selection decisions, disciplinary events, and player injuries occurring before or during a match can cause large and immediate price movements.

14.2. Such events, including any injury to a Reference Player, are outside LineUp's

control and are your risk as a trader. LineUp is not responsible for losses arising from them. Decisions of sporting bodies, including scheduling, selection, sanctions, and result amendments, may also materially affect SPAs without notice. 15. No Advice and Suitability

15.1. LineUp provides an execution venue and tools only. It does not assess whether

trading, or any particular SPA, product, or strategy, is suitable or appropriate for you, and it does not act as your broker, adviser, or fiduciary.

15.2. You are responsible for determining whether trading on the Platform is appropriate

for you in light of your financial situation, experience, risk tolerance, and objectives, and for obtaining independent professional advice if you need it. 16. Regulatory and Legal Risk

16.1. The legal and regulatory treatment of the Platform and of SPAs varies between

jurisdictions and may change. Features, or the entire Platform, may be restricted, suspended, or withdrawn in a jurisdiction, and you may be required to close positions as a result.

16.2. You are responsible for ensuring that your use of the Platform is lawful in every

jurisdiction applicable to you. The Platform is not available in Restricted Jurisdictions, as described in the Terms & Conditions. 17. Tax Risk

17.1. You are solely responsible for determining, reporting, and paying any taxes arising

from your use of the Platform, including on trading profits, cryptocurrency transactions and conversions, and withdrawals, under the laws of every jurisdiction applicable to you. LineUp does not provide tax advice, and Platform records are not tax documents unless expressly labelled as such. 18. Responsible Trading and Wellbeing

18.1. Fast, frequent, or leveraged trading can be financially and emotionally harmful and,

for some people, can become difficult to control. If trading stops feeling in control, or is affecting your finances or wellbeing, please use the tools described in the Responsible Trading Policy (https://lineup.trade/responsible-trading), including deposit limits, cooling-off periods, and self-exclusion, and consider seeking support from a qualified service in your area. 19. Acknowledgement

19.1. By opening a position, and in particular before enabling and using margin or short-

selling features, you acknowledge and confirm that: (a) you have read and understood this Risk Disclosure Statement and the Terms & Conditions; (b) you understand that SPAs are synthetic assets with no existence or value outside the Platform and no ownership of any real player or asset; (c) you understand that LineUp is not a counterparty to your trades, does not custody your funds, and does not guarantee liquidity, execution, price, or profit; (d) you understand that you may lose the entire amount of collateral you commit, that leverage and short selling increase risk, and that liquidation may occur without a prior margin call; (e) you understand that negative-balance protection limits, but does not remove, your risk of loss; and (f) you accept these risks and take full responsibility for your trading decisions and their outcomes. 20.
